1. Agreement to Terms

By accessing or using the ChannelNav website at channelnav.com (the "Site") and any services provided by Lumicraft Foundry Limited ("we", "our", "us"), you agree to be bound by these Terms of Service. If you do not agree, please do not use our Site or services.

ChannelNav provides cloud-based services for Microsoft Partners, including but not limited to:

  • Security audit tools and reports
  • Client management solutions
  • CPOR (Claiming Partner of Record) claim generation
  • Additional services as they become available

Our services are currently in early access. Features, availability, and pricing are subject to change.

4. Waitlist and Early Access

By joining our waitlist, you are expressing interest in our services. Joining the waitlist does not constitute a binding agreement to purchase, nor does it guarantee access to our services at any specific time or price.

5. User Accounts

When account registration becomes available, you agree to:

  • Provide accurate and complete information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access
  • Accept responsibility for all activity under your account

6. Acceptable Use

You agree not to:

  • Use our services for any unlawful purpose
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the integrity of our services
  • Reproduce, duplicate, or resell any part of our services without express permission
  • Use our services to process data in violation of applicable data protection laws

All content on this Site, including text, graphics, logos, icons, images, and software, is the property of Lumicraft Foundry Limited and is protected by international copyright and intellectual property laws. The ChannelNav name, logo, and related marks are trademarks of Lumicraft Foundry Limited.

8. Microsoft Disclaimer

ChannelNav is an independent product. It is not affiliated with, endorsed by, or sponsored by Microsoft Corporation. "Microsoft", "Microsoft 365", "Azure", "Microsoft Partner", and related terms are trademarks of Microsoft Corporation.

9. Limitation of Liability

To the maximum extent permitted by Irish and EU law:

  • Our services are provided "as is" without warranties of any kind
  • We shall not be liable for any indirect, incidental, special, or consequential damages
  • Our total liability shall not exceed the amounts paid by you for the services in the 12 months preceding the claim

10. Indemnification

You agree to indemnify and hold harmless Lumicraft Foundry Limited and its officers, directors, and employees from any claims, damages, or expenses arising from your use of our services or violation of these terms.

11. Consumer Rights and Cooling-Off Period

If you are a consumer in the European Union, you benefit from the protections of the Irish Consumer Rights Act 2022 and EU consumer protection legislation. For distance contracts (purchases made online), you have the right to withdraw from the contract within 14 days of purchase without giving any reason.

To exercise your right of withdrawal, you must inform us by email at legal@channelnav.com with a clear statement of your decision. Upon valid withdrawal, we will reimburse all payments received from you within 14 days.

Nothing in these Terms affects your statutory rights as a consumer under Irish or EU law.

12. Governing Law

These Terms are governed by the laws of Ireland. Any disputes shall be subject to the exclusive jurisdiction of the Irish courts, without prejudice to your rights under EU consumer protection legislation.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via the Site or by email. Your continued use of our services after changes constitutes acceptance of the updated terms.
